1. Introduction

Welcome to RugCheck. These Terms and Conditions ("Terms") govern your access to and use of the RugCheck website, including any content, functionality, and services offered on or through rugcheck.ca (the "Site").

Please read these Terms carefully before you start using the Site. By using the Site, you accept and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site.

RugCheck operates as a flight search and comparison service that aggregates flight information from various airlines, travel agencies, and other third-party providers. We do not operate as an airline, travel agency, or tour operator.

2. Who We Are

RugCheck is a flight aggregator service operated by RugCheck Inc., a company registered in Canada with registration number 69893320 and registered office at 9241 Feest Mews Suite 794, Joneschester, QC G2P8A9, Canada.

3. User Eligibility

The Site is intended for users who are at least 16 years of age and are residents of Canada or other countries where access to our Site is permitted by law. By using this Site, you represent and warrant that:

• You are at least 16 years of age
• You have the legal capacity to enter into a binding agreement
• Your use of the Site does not violate any applicable law or regulation

If you are using the Site on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind such entity to these Terms.

4. Account Registration

RugCheck provides a platform that allows users to search for and compare flight options from various airlines and travel providers. We aggregate information from multiple sources to help you find suitable flight options based on your search criteria.

5.2 Information Accuracy

While we strive to provide accurate and up-to-date information, we cannot guarantee the accuracy, completeness, or reliability of any flight information displayed on our Site. Flight details, availability, prices, and other information may change between the time of your search and the time of booking.

5.3 Third-Party Bookings

When you select a flight option on our Site, you will be redirected to the website of the relevant airline or travel provider to complete your booking. RugCheck does not process flight bookings directly. Any contract for the purchase of flight tickets is between you and the airline or travel provider, not RugCheck.

5.4 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our service at any time, with or without notice. We shall not be liable if, for any reason, all or any part of the service is unavailable at any time or for any period.

6. User Conduct

When using our Site, you agree not to:

• Use the Site in any way that violates applicable laws or regulations
• Use the Site to send, knowingly receive, upload, download, or use any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Impersonate or attempt to impersonate RugCheck, a RugCheck employee, another user, or any other person or entity
• Engage in any activity that interferes with or disrupts the Site or servers and networks connected to the Site
• Attempt to gain unauthorized access to any portion of the Site or any other systems or networks connected to the Site
• Use any robot, spider, or other automated device to access the Site for any purpose without our express written permission
• Harvest or collect email addresses or other contact information of other users from the Site
• Circumvent, disable, or otherwise interfere with security-related features of the Site

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Site and its entire content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by RugCheck, its licensors, or other providers of such material and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

7.2 Limited License

Subject to your compliance with these Terms, RugCheck grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Site for personal, non-commercial purposes. This license does not include:

• Any resale or commercial use of the Site or its contents
• Any collection and use of any product listings, descriptions, or prices
• Any derivative use of the Site or its contents
• Any downloading or copying of account information for the benefit of another merchant
• Any use of data mining, robots, or similar data gathering and extraction tools

7.3 Trademarks

The RugCheck name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of RugCheck or its affiliates or licensors. You must not use such marks without the prior written permission of RugCheck. All other names, logos, product and service names, designs, and slogans on this Site are the trademarks of their respective owners.

8. User Content

8.1 User Reviews and Feedback

Our Site may allow you to post reviews, comments, suggestions, or other content (collectively, "User Content"). By posting User Content, you grant RugCheck a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media.

8.2 Content Standards

Any User Content you post must comply with all applicable laws and regulations and must not:

• Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable
• Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
• Infringe any patent, trademark, trade secret, copyright, or other intellectual property rights of any person
• Violate the legal rights (including the right of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability
• Be likely to deceive any person or impersonate any person or entity
• Promote any illegal activity or advocate, promote, or assist any unlawful act
• Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person
• Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising

8.3 Monitoring and Enforcement

RugCheck has the right (but not the obligation) to monitor, remove, or edit any User Content for any reason, including if it violates these Terms or is otherwise objectionable. You understand that by using the Site, you may be exposed to User Content that is inaccurate, offensive, indecent, or objectionable.

9. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and share information about you when you access or use our Site.

10. Limitation of Liability

10.1 Disclaimer of Warranties

YOUR USE OF THE SITE IS AT YOUR SOLE RISK. THE SITE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. RUGCHECK EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

RUGCHECK MAKES NO WARRANTY THAT:

• THE SITE WILL MEET YOUR REQUIREMENTS
• THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
• THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SITE WILL BE ACCURATE OR RELIABLE
• THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SITE WILL MEET YOUR EXPECTATIONS
• ANY ERRORS IN THE SITE WILL BE CORRECTED

10.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RUGCHECK, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE OR SUCH OTHER WEBSITES, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

10.3 Third-Party Content and Services

RugCheck is not responsible for the content or services provided by any third parties, including airlines, travel providers, or other websites linked from our Site. Your interactions with such third parties are solely between you and the third party. RugCheck disclaims all liability in connection with such interactions.

11. Indemnification

You agree to defend, indemnify, and hold harmless RugCheck, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site, including, but not limited to, your User Content, any use of the Site's content, services, and products other than as expressly authorized in these Terms.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Site shall be instituted exclusively in the courts of the Province of Quebec, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.

13. Dispute Resolution

In the event of any dispute, claim, question, or disagreement arising from or relating to these Terms or the breach thereof, you and RugCheck shall use reasonable efforts to settle the dispute, claim, question, or disagreement. To this effect, you and RugCheck shall consult and negotiate with each other in good faith and, recognizing mutual interests, attempt to reach a just and equitable solution satisfactory to both parties.

If you and RugCheck do not reach such solution within a period of 60 days, then, upon notice by either you or RugCheck to the other, all disputes, claims, questions, or differences shall be finally settled by arbitration administered by the Canadian Commercial Arbitration Centre in accordance with the provisions of its Commercial Arbitration Rules.

14. Changes to Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Site thereafter.

Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes, as they are binding on you.

15. Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

16. Entire Agreement

These Terms, our Privacy Policy, and any other terms and policies referenced herein constitute the sole and entire agreement between you and RugCheck regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
